Terms of Service

1. Eligibility and accounts

• You must be at least 18 years old to use the Service
• You must provide accurate, current, and complete information when creating your account
• You are responsible for maintaining the confidentiality and security of your account credentials
• One account per person; shared or duplicate accounts are not permitted
• You are solely responsible for all activity that occurs under your account
• You must promptly notify us of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

2. Description of the Service

Mahjy is a platform that enables users to organize, discover, and coordinate in-person mahjong games. The Service provides tools for hosting events, finding games, managing RSVPs, and communicating with other players.

Mahjy is a technology platform only. We are not an event organizer, venue operator, or party to any transaction between hosts and players. We do not host, operate, manage, supervise, or control any events listed on the Service.

3. Events, hosts, and players

3.1 Platform role

The Service serves solely as a venue for hosts to list events and for players to discover and register for them. All events listed on the Service are created, organized, and managed entirely by independent hosts who are users of the platform. Second Arcs LLC and Mahjy are not involved in the planning, execution, or supervision of any event.

3.2 Contracts between hosts and players

All events and ticket purchases constitute agreements solely between the host and the attending player(s). Neither Second Arcs LLC nor Mahjy is a party to any such agreement. When you purchase a ticket or RSVP to an event, you are entering into a direct arrangement with the host of that event, not with us. We bear no responsibility or liability for the performance, cancellation, or any aspect of any event or any agreement between hosts and players.

3.3 Host responsibilities

If you host events on the Service, you acknowledge and agree that:

• You are solely responsible for the accuracy and completeness of all event details
• You must have legal permission and authorization to use any venue you list
• You are solely responsible for ensuring a safe and lawful environment for all attendees
• You are responsible for compliance with all applicable local, state, and federal laws and regulations, including but not limited to occupancy limits, permits, insurance requirements, and accessibility standards
• You are solely responsible for collecting and remitting any applicable taxes
• Cancellations must be communicated promptly to attendees through the Service
• If you charge for events, you are responsible for fulfilling the services described in your event listing
• You are independently responsible for obtaining any insurance coverage you deem appropriate for events you host

3.4 Player responsibilities

If you attend events discovered through the Service, you acknowledge and agree that:

• You attend all events entirely at your own risk and discretion
• You are solely responsible for evaluating the suitability and safety of any event before attending
• You should honor your RSVPs and commitments; repeated no-shows may result in account restrictions
• You are responsible for your own conduct and behavior at events
• You must comply with all rules set by the host and venue

4. Safety and assumption of risk

SECOND ARCS LLC AND MAHJY MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SAFETY, QUALITY, LEGALITY, SUITABILITY, OR ANY OTHER ASPECT OF ANY EVENT, HOST, PLAYER, VENUE, OR GAME LISTED ON OR FACILITATED THROUGH THE SERVICE.

Without limiting the foregoing, we do not:

• Verify, endorse, or guarantee the identity, background, qualifications, or conduct of any host or player
• Inspect, approve, certify, or guarantee the safety, condition, legality, or suitability of any venue or location
• Supervise, manage, monitor, or control any event or activity that takes place at an event
• Guarantee that any event will take place as listed, or at all
• Verify that hosts have appropriate insurance, permits, or legal authority
• Make any representation regarding the skill level, experience, or character of any user

By using the Service, you acknowledge that participation in in-person events involves inherent risks, including but not limited to risks of personal injury, property damage, illness, theft, and other harms. You voluntarily assume all such risks and agree that Second Arcs LLC and Mahjy shall not be liable for any loss, injury, damage, or harm of any kind arising from or related to your use of the Service or your participation in any event.

5. Acceptable use

When using the Service, you agree not to:

• Use the platform for illegal gambling or any illegal activities
• Harass, threaten, abuse, stalk, or discriminate against any user
• Create multiple accounts, impersonate others, or provide false information
• Use the Service to promote events unrelated to mahjong without our prior written consent
• Scrape, collect, or harvest user data or content from the Service
• Interfere with or disrupt the Service, servers, or networks
• Circumvent any access restrictions, security measures, or rate limits
• Use the Service to send spam, unsolicited messages, or promotions
• Upload or transmit viruses, malware, or any harmful code
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in any manner that could damage, disable, or impair the Service

Mahjy is intended for social and recreational mahjong play. The Service must not be used to organize, facilitate, or promote illegal gambling of any kind.

6. Subscriptions and billing

6.1 Free trial

New users receive a free trial period. During the trial, you have access to the Service features associated with your selected tier. At the end of the trial period, you must subscribe to a paid plan to continue using interactive features of the Service. Users who do not subscribe after the trial period will have read-only access (you may browse events but cannot RSVP, create events, or use interactive features).

6.2 Subscription tiers

The Service offers multiple subscription tiers with varying features and capabilities. Current tier details, pricing, and included features are displayed in the app. We reserve the right to modify subscription tiers, features, and pricing at any time with reasonable notice.

6.3 Billing

• Subscription fees are billed through the Apple App Store or Google Play Store
• Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date
• You can manage and cancel your subscription through your Apple App Store or Google Play Store account settings
• Refunds for subscription payments are handled according to Apple and Google's respective refund policies
• We may change subscription pricing with at least 30 days advance notice. Continued use after a price change constitutes acceptance of the new pricing.
• No refunds or credits are provided for partial subscription periods or unused features

7. Paid events and payments

7.1 Ticket purchases

Certain hosts may charge fees for attendance at their events. Ticket payments are processed through Stripe. When you purchase a ticket, your payment is held and released to the host after the event concludes, subject to the refund policy below.

7.2 Refund policy

The following standard refund policy applies to all paid events on the platform:

• 48+ hours before event: Full refund (100%)
• 24 to 48 hours before event: Partial refund (50%)
• Less than 24 hours before event: No refund
• Host cancellation: If a host cancels an event, all ticket holders receive a full refund (100%) automatically

Refunds are processed through Stripe and may take 5-10 business days to appear in your account.

7.3 Host payouts (Stripe Connect)

Hosts who charge for events receive payouts through Stripe Connect. By setting up Stripe Connect, hosts agree to Stripe's terms of service in addition to these Terms. Payout timing and processing are governed entirely by Stripe's terms and policies. Mahjy does not hold, control, or have access to host funds at any point in the transaction.

7.4 Platform role in payments

We facilitate payment processing as a service to hosts and players. We are not a party to the transaction between hosts and players. All disputes regarding the quality, delivery, or nature of event services are between the host and the player. We may, but are not obligated to, assist in resolving payment disputes.

8. User content

You retain ownership of content you create or upload to the Service, including profile information, event descriptions, photos, and chat messages ("User Content"). By posting User Content, you grant Second Arcs LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, display, reproduce, modify, and distribute your User Content in connection with operating, providing, promoting, and marketing the Service, including in promotional materials, social media, advertisements, and other marketing channels. This license terminates when you delete your content or account, except where your content has been previously used in marketing materials or shared with others who have not deleted it.

You represent and warrant that you own or have the necessary rights to post your User Content and that it does not violate any third party's intellectual property or other rights.

We may remove User Content that violates these Terms or is otherwise objectionable, without notice.

9. Intellectual property

The Service, including its design, features, content, trademarks, logos, and underlying technology, is owned by Second Arcs LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part thereof without our express written permission.

"Mahjy" and the Mahjy logo are trademarks of Second Arcs LLC. You may not use our trademarks without our prior written consent.

10. Content and conduct enforcement

We reserve the right, but have no obligation, to monitor, review, or moderate User Content and user conduct. We may, in our sole discretion and without prior notice:

• Remove or restrict access to any User Content
• Issue warnings to users
• Temporarily suspend access to the Service
• Permanently terminate accounts for serious or repeated violations
• Report illegal conduct to law enforcement

Users may report other users or content through the in-app reporting feature. We investigate reports and take action as we deem appropriate, but we are under no obligation to take any specific action.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SECOND ARCS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we make no warranty that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• Any information provided through the Service will be accurate, reliable, or complete
• Any events listed on the Service will be safe, lawful, or as described
• Any defects in the Service will be corrected

We do not guarantee the availability of the Service in any particular geographic area or at any particular time. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SECOND ARCS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, THE COMPANY PARTIES SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY CLAIMS, DAMAGES, LOSSES, COSTS, OR EXPENSES ARISING FROM OR RELATED TO:

• ANY EVENT, GAME, GATHERING, OR ACTIVITY ORGANIZED, HOSTED, OR ATTENDED BY USERS OF THE SERVICE
• THE CONDUCT, ACTIONS, OR OMISSIONS OF ANY HOST, PLAYER, OR OTHER USER, WHETHER ONLINE OR IN PERSON
• ANY VENUE, LOCATION, OR PREMISES WHERE EVENTS TAKE PLACE
• PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER HARM SUFFERED AT OR IN CONNECTION WITH ANY EVENT
• ANY DISPUTE BETWEEN HOSTS AND PLAYERS REGARDING EVENTS, TICKETS, OR PAYMENTS
• ANY INACCURACY IN EVENT LISTINGS, USER PROFILES, OR OTHER USER-GENERATED CONTENT

TO THE EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, the liability of the Company Parties shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Second Arcs LLC, its officers, directors, members, employees, agents, affiliates, successors, and assigns (the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use of or access to the Service
• Your violation of these Terms or any applicable law or regulation
• Your User Content or any content you submit, post, or transmit through the Service
• Any event you host, organize, attend, or participate in through the Service, including but not limited to any injury, loss, damage, or claim arising at or in connection with such event
• Any transaction or dispute between you and another user, including but not limited to disputes regarding event tickets, payments, refunds, or event quality
• Your violation of any third party's rights, including intellectual property, privacy, or publicity rights
• Any allegation that your conduct or content caused damage to a third party

This indemnification obligation shall survive the termination of your account and these Terms. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

14. Dispute resolution

14.1 Governing law

These Terms and any disputes arising from or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions.

14.2 Informal resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@mahjy.com and attempt to resolve the dispute informally for at least thirty (30) days.

14.3 Binding arbitration

If we cannot resolve a dispute informally, you and Second Arcs LLC agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Travis County, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class action waiver

YOU AND SECOND ARCS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

14.5 Exceptions

Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Termination

You may terminate your account at any time by deleting it through the app or by contacting us at support@mahjy.com.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to if we reasonably believe that you have violated these Terms. Upon termination:

• Your right to use the Service will immediately cease
• Your active subscriptions will not be automatically refunded; you should cancel subscriptions through the Apple App Store or Google Play Store before deleting your account
• If you have pending payouts as a host, those are handled by Stripe per their terms and are not affected by account termination on Mahjy
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 11, 12, 13, 14, and 16

16. General provisions

16.1 Changes to these Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the app, by email, or by posting a prominent notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

16.2 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Second Arcs LLC regarding the Service and supersede all prior agreements, representations, and understandings.

16.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by Second Arcs LLC to be effective.

16.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.6 Force majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, pandemics, or other force majeure events.
